Terms of Service

1. Acceptance of Terms

By accessing or using the Value Way platform ("Service") operated by Value Way Inc. ("Value Way," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

2. Service Description

Value Way provides a coffee traceability and carbon footprint management platform that enables participants across the coffee supply chain to:

• Track and verify coffee lot data from origin to destination
• Calculate carbon footprint estimates using the Value Way© Canonical Crosscut Calculator (CCC)
• Generate compliance documentation (e.g., EUDR readiness)
• Share verifiable Coffee ID data with supply chain partners

3. Eligibility

You must be at least 16 years of age and have the legal capacity to enter into a binding agreement to use the Service. By using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

4. Account Registration and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Provide accurate and complete registration information
• Notify us immediately of any unauthorized access to your account
• Not share your account credentials with third parties

5. Subscription and Payment

5.1 Plans

The Service offers free and paid subscription plans. Features available to you depend on your selected plan. We reserve the right to modify plan features and pricing with 30 days' advance notice.

5.2 Payment Processing

All payments are processed through Stripe, Inc. By subscribing to a paid plan, you agree to Stripe's terms of service. Subscription fees are billed in advance on a monthly or annual basis.

5.3 Cancellation

You may cancel your subscription at any time through the account settings. Upon cancellation, your access to paid features will continue until the end of the current billing period, after which your account will revert to the free tier.

5.4 Refunds

Subscription fees are non-refundable, except where required by applicable law. Spot purchases (one-time purchases) are non-refundable once the data has been accessed.

6. Data Ownership and Licensing

6.1 Your Data

You retain ownership of all data you upload or enter into the Service ("Your Data"), including lot information, producer details, and supply chain records. You grant Value Way a limited license to process, store, and display Your Data solely for the purpose of providing the Service.

6.2 CFP Calculations

Carbon footprint calculations generated by the Value Way© Canonical Crosscut Calculator (CCC) are estimates based on the data you provide and publicly available emission factors (IPCC, DEFRA). These calculations are provided for informational purposes and do not constitute certified carbon accounting or legal compliance documentation.

6.3 Aggregated Data

We may use anonymized, aggregated data derived from the Service for research, product improvement, and industry benchmarking purposes. Such aggregated data will not identify you or your organization.

7. Intellectual Property

The Service, including the Value Way© brand, the Canonical Crosscut Calculator (CCC), Coffee ID system, user interface, algorithms, and all related intellectual property, are owned by Value Way Inc. and protected by applicable intellectual property laws.

Value Way© and the Canonical Crosscut Calculator (CCC) are patent-pending technologies of Value Way Inc.

8. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Upload false, misleading, or fraudulent data
• Attempt to gain unauthorized access to other users' accounts or data
• Reverse engineer, decompile, or disassemble any part of the Service
• Use automated tools to scrape or extract data from the Service
• Resell or redistribute the Service without authorization

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or that CFP calculations will be accurate for any specific regulatory or certification purpose.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VALUE WAY INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO VALUE WAY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Termination

We may suspend or terminate your access to the Service if you violate these Terms or engage in conduct that we determine is harmful to other users or the Service. Upon termination, you may request export of Your Data within 30 days.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Japan. Any disputes arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the Kobe District Court as the court of first instance.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page with a revised "Last updated" date. Continued use of the Service after such changes constitutes acceptance of the updated Terms.
